These Terms of Service (“Terms”) govern your access to and use of xyence.io (the “Site”), which is operated by Xyence (“Xyence,” “we,” “our,” or “us”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Use of the Site

You may use the Site for lawful, personal, and professional purposes consistent with these Terms. You agree not to:

• Use the Site in any manner that could disable, overburden, damage, or impair it, or interfere with any other party’s use of the Site;
• Attempt to gain unauthorized access to, or probe the security of, the Site or any connected systems;
• Use automated means (scrapers, bots, crawlers) to access the Site in a way that violates these Terms or any rate limits, or to harvest information for unsolicited communications;
• Use the Site to transmit unlawful, infringing, defamatory, harassing, or otherwise harmful material.

Informational content; not professional advice

The articles, essays, and other materials we publish on the Site are provided for general informational purposes. They reflect our perspectives at the time of writing and do not constitute legal, tax, financial, accounting, investment, or real estate advice. Nothing on the Site creates a client, agency, fiduciary, advisor, or broker-customer relationship between you and Xyence; any such relationship is established only by a separate, written engagement signed by both parties.

No offer; no solicitation

References to properties, transactions, markets, or services on the Site are informational only and are not an offer to sell or a solicitation of an offer to buy any property, security, or service. Any actual transaction is governed exclusively by the documents executed for that transaction.

Real estate disclosures

Xyence and persons affiliated with Xyence who hold a real estate license operate in compliance with Missouri real estate brokerage law. Brokerage relationships and any associated duties arise only pursuant to a written brokerage agreement. Property information that may appear on the Site is believed to be reliable but is not guaranteed and should be independently verified.

Intellectual property

The Site and its contents — including text, articles, graphics, logos, and design — are owned by Xyence or our licensors and are protected by applicable intellectual property laws. You may view, download, and print pages from the Site for your personal, non-commercial reference, provided you do not remove or alter any proprietary notices. Any other use — including reproduction, distribution, modification, or use to train machine-learning models — requires our prior written permission.

Submissions

If you send us a message via the contact form, email, or otherwise, you represent that the submission is your own and does not violate the rights of any third party. You grant us a non-exclusive, royalty-free license to use the submission for the purpose of responding to you and operating the Site. We will handle personal information in your submission consistent with our Privacy Policy.

To the fullest extent permitted by law, Xyence and its principals, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Site, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Site is limited to one hundred U.S. dollars (US$100).

Indemnification

You agree to indemnify and hold harmless Xyence and its principals, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Site or your violation of these Terms.

Governing law and venue

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Site shall be the state and federal courts located in the City of St. Louis, Missouri, and you consent to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of the Site after changes constitutes acceptance of the updated Terms.
